Autonomous Trust Center Terms

These Autonomous Trust Center Terms (“Autonomous Trust Center Terms”) describe the terms under which Sprinto Inc. (“Sprinto,” “We,” “Our,” “Us”) provides an individual or entity (“You,” “Your,” “Yourself”) and their Users access to and use of the standalone Autonomous Trust Center offering described below.

By accessing and/or using the Autonomous Trust Center, (a) You agree to be bound by these Autonomous Trust Center Terms, (b) You warrant that You have the legal capacity to enter into this agreement, and (c) You possess the requisite authority to bind the entity on behalf of which You are entering into these Autonomous Trust Center Terms.

You and Us will be individually referred to as a “Party” and collectively as “Parties.”

  1. AUTONOMOUS TRUST CENTER OFFERING
    1. Overview. The “Autonomous Trust Center” means Sprinto’s standalone hosted trust center portal that enables You to create, administer, and publish, inter alia, compliance/AI posture/security-related information for Your organization’s external stakeholders.
    2. Your Rights. Subject to Your compliance with these Autonomous Trust Center Terms, Sprinto grants You a limited, non-exclusive, non-transferable, revocable right to access and use the Autonomous Trust Center solely for Your internal business purposes.
    3. Sprinto’s Responsibilities. Sprinto will make the Autonomous Trust Center available to You in accordance with these Autonomous Trust Center Terms and Sprinto’s then-current Documentation (if any).
    4. Updates and Downtime. Sprinto may deploy updates at any time. The Autonomous Trust Center may be temporarily unavailable for maintenance or upgrades.
  2. ELIGIBILITY; BUSINESS USE ONLY
    1. Business Use Only. The Autonomous Trust Center is intended for business use only and is not offered for personal, household, or consumer use.
    2. Authority. You represent that You are acting on behalf of a business entity and have authority to bind that entity.
    3. Competitors; Benchmarking. Sprinto’s competitors are prohibited from accessing the Autonomous Trust Center for competitive analysis, benchmarking, or similar purposes, except with Sprinto’s prior written consent.
  3. YOUR RESPONSIBILITIES; ACCEPTABLE USE
    1. Your Account. You are responsible for maintaining the confidentiality of login credentials and for all activity under Your account.
    2. Acceptable Use. You agree not to: (a) license, sublicense, sell, resell, rent, lease, distribute, or otherwise make the Autonomous Trust Center available to any third party except as expressly permitted; (b) modify, hack, reverse engineer, or attempt to gain unauthorized access; (c) use the Autonomous Trust Center in violation of applicable laws; (d) upload or publish content that infringes intellectual property rights or is unlawful; (e) introduce malware; or (f) engage in any prohibited activity that threatens the security, integrity, or availability of the Autonomous Trust Center.
    3. Sharing and Redistribution.(a) Customer Content. You may publish and share Your Customer Content through the Autonomous Trust Center features as intended. (b) Restricted Materials. You shall not redistribute, publicly post, or sublicense any Sprinto-provided materials or third-party materials (e.g., audit reports, integrated security data) made available through the Autonomous Trust Center that are subject to distribution restrictions, except as expressly authorized by the applicable rights-holder.
  4. CUSTOMER CONTENT; PUBLICATION RESPONSIBILITY
    1. Customer Content.Customer Content” means all content, materials, text, files, and information that You upload, submit, or publish through the Autonomous Trust Center.
    2. Your Responsibility to Review. You are solely responsible for reviewing, editing, approving, and deciding whether to publish Customer Content.
    3. Rights and Compliance. You represent and warrant that You have all rights necessary to use and publish Customer Content and that it does not violate any law or third-party rights.
    4. Removal. Sprinto may remove or restrict access to Customer Content that violates these Autonomous Trust Center Terms or applicable law.
  5. AUTOMATED COLLECTION; AI-ASSISTED SUGGESTIONS
    1. Suggested Content. Sprinto may use automated tools (including AI) to generate drafts, suggestions, or proposed artifacts based on information provided by You or publicly available sources relating to You (“Suggested Content”).
    2. No Reliance. Suggested Content is provided “as is”, for informational purposes only and may be inaccurate or incomplete. You are solely responsible for reviewing and validating Suggested Content before use or publication. You must not rely on Suggested Content for any decision or use case that could result in material harm or significant legal, regulatory, or financial consequences. You will not use Suggested Content in connection with any high-risk, safety-critical, or otherwise regulated use case, or in any manner that would trigger heightened legal or regulatory obligations, except where You independently validate the content and implement all required compliance measures. You remain solely responsible for complying with all laws applicable to Your use of the Autonomous Trust Center and any Suggested Content.
    3. Source Authorization. You represent that You have the right to authorize Sprinto to access the sources You provide (for example, Your website domain) for the purpose of generating Suggested Content.
    4. Labelling. You acknowledge that Suggested Content is synthetically generated by AI. To comply with applicable law, Sprinto may include metadata or visible labels identifying the content as AI-generated. You agree not to remove such identifiers where required by law.
  6. FEES; TAXES; PAYMENT PROCESSING
    1. Fees.  Fees (if any) for Autonomous Trust Center access are displayed at checkout.
    2. Taxes. Fees are inclusive of applicable taxes. You are responsible for applicable taxes unless stated otherwise at checkout.
    3. Payment Processor. Payments may be processed by third-party payment processors. Sprinto does not store full payment card details.
  7. TERM; “LIFETIME ACCESS” (IF OFFERED)
    1. Term. Your access continues for the applicable term presented at checkout.
    2. Lifetime Access Definition. If “lifetime access” is offered, it means access for the lifetime of the Autonomous Trust Center service as offered by Sprinto, subject to these Autonomous Trust Center Terms.
    3. No Guarantee of Perpetual Operation. Sprinto may modify, replace, or discontinue the Autonomous Trust Center service in accordance with Section 10. If You purchase a “lifetime access” offering, Sprinto will use commercially reasonable efforts to provide reasonable prior notice before discontinuing the Autonomous Trust Center offering. “Lifetime access” means access for the lifetime of the Autonomous Trust Center service as offered by Sprinto, and does not guarantee that Sprinto will operate the Autonomous Trust Center indefinitely.
  8. REFUNDS
    1. Fees, if any paid, are non-refundable except as required by applicable law.
  9. INTELLECTUAL PROPERTY RIGHTS
    1. Autonomous Trust Center. Except for rights granted to You, all rights, title, and interest in and to the Autonomous Trust Center and related intellectual property belong to Sprinto and its licensors.
    2. Customer Content. You retain rights in Customer Content. You grant Sprinto a limited license to host, display, process, and otherwise use Customer Content solely to provide and maintain the Autonomous Trust Center.
    3. Suggested Content; Ownership and License. Sprinto may provide Suggested Content (as defined in Section 5.1) for Your review. As between You and Sprinto, and to the extent permitted under applicable law, You own all rights, title, and interest in and to the Suggested Content to the extent it is specific to You and generated for You through Your use of the Autonomous Trust Center. Sprinto retains all rights, title, and interest in and to Sprinto’s underlying technology and intellectual property used to generate the Suggested Content, including Sprinto’s software, models, algorithms, prompts, templates, workflows, and know-how. You grant Sprinto a limited, non-exclusive, worldwide, royalty-free license to host, process, display, and otherwise use the Suggested Content solely to provide, maintain, secure, and support the Autonomous Trust Center and to comply with applicable law.
    4. Feedback. Sprinto may use feedback You provide without restriction.
  10. SUSPENSION; REVOCATION; CHANGES; DISCONTINUATION
    1. Suspension/Revocation. Sprinto may suspend or revoke access to the Autonomous Trust Center immediately if (a) You breach these Autonomous Trust Center Terms and the breach creates a security risk, involves fraud or abuse, or requires immediate action to protect Sprinto, the Autonomous Trust Center, or third parties, (b) Sprinto reasonably suspects fraud or abuse, or (c) Sprinto is required to do so by law. For all other breaches, Sprinto will provide notice of the breach and allow You fifteen (15) days to cure before suspending or revoking access. If You cure the breach within the cure period, Sprinto will reinstate access (if previously suspended) within a reasonable time. If You do not cure within the cure period, Sprinto may suspend or revoke access. Notwithstanding the foregoing, Sprinto may remove or restrict specific content immediately if it violates law or third-party rights.
    2. Changes/Discontinuation. Sprinto may modify, replace, suspend, or discontinue the Autonomous Trust Center (in whole or in part) at any time. Where Sprinto makes a material change that adversely affects Your use of the Autonomous Trust Center, or discontinues the Autonomous Trust Center offering, Sprinto will use commercially reasonable efforts to provide notice of at least 10 (ten) days to You (for example, by email to the address associated with Your account or by notice within the Autonomous Trust Center, or via an in-product banner) in advance of the effective date of the change. Sprinto is not responsible for notices that You do not receive due to outdated or inaccurate contact information.
    3. Data Export. Upon any termination or discontinuation of the Autonomous Trust Center, Sprinto will provide You a period of 45 (forty-five) days to export Your Customer Content. After such a period, Sprinto shall have no obligation to maintain Your Customer Content and may delete it in accordance with Sprinto’s data retention policies and applicable law.
  11. PERSONAL DATA RESTRICTIONS AND COMPLIANCE
    1. Prohibited Data. You shall not upload or process any Sensitive Personal Data (as defined by applicable data protection laws) within the Autonomous Trust Center, including but not limited to: health information (PHI), financial account numbers, government identifiers (e.g., SSN, Aadhaar), or biometric data.
    2. Permitted Data. Use of the Autonomous Trust Center is restricted to business contact information (e.g., name, business email, and job title) necessary for account administration and compliance reporting.
    3. User Responsibility. You represent and warrant that You have provided all necessary notices and obtained all required consents under applicable law (including the GDPR and India’s DPDP Act) for the processing of such business contact information by Sprinto.
    4. Indemnity. You shall indemnify Sprinto against any third-party claims or regulatory fines arising from Your breach of this Section or the unauthorized upload of any prohibited data.
  1. SERVICE PROVIDERS

Sprinto engages third-party service providers (e.g., cloud hosting and AI infrastructure providers) to support the Autonomous Trust Center. A list of these providers is available here. Sprinto ensures these providers are bound by confidentiality and data protection obligations no less protective than those in these Terms. If You require a formal Data Processing Addendum (DPA), please contact legal@sprinto.com

  1. WARRANTIES AND DISCLAIMERS

EXCEPT AS EXPRESSLY PROVIDED HEREIN, THE AUTONOMOUS TRUST CENTER AND ALL SUGGESTED CONTENT ARE PROVIDED “AS IS.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPRINTO EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

  1. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPRINTO’S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE AUTONOMOUS TRUST CENTER SHALL NOT EXCEED USD 100. IN NO EVENT SHALL SPRINTO BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

  1. INDEMNITY

You will defend and indemnify Sprinto from third-party claims arising out of (a) Customer Content, (b) Your misuse of the Autonomous Trust Center, or (c) Your breach of these Autonomous Trust Center Terms.

  1. GOVERNING LAW; DISPUTE RESOLUTION

These Autonomous Trust Center Terms shall be governed by the laws of Delaware, USA. Any dispute shall be resolved through binding arbitration on an individual basis. You and Sprinto agree to waive any right to participate in a class action lawsuit or class-wide arbitration.

  1. MISCELLANEOUS
    1. Entire Agreement; Order of Precedence. These Autonomous Trust Center Terms and any policies incorporated by reference constitute the entire agreement for the Autonomous Trust Center offering.
    2. Assignment. Neither Party may assign these Autonomous Trust Center Access Terms or any rights or obligations under them without the other Party’s prior written consent, except that Sprinto may freely assign them to an Affiliate or in connection with a merger, acquisition, reorganization, or sale of all or substantially all of its business or assets. Any prohibited assignment is void. These Autonomous Trust Center Access Terms bind and benefit the Parties and their permitted successors and assigns.
    3. Severability; Waiver. Failure or delay to enforce any right is not a waiver. Any waiver must be in writing and is limited to the specific instance. If any provision is held unenforceable, the remaining provisions remain in full force and effect.
    4. Notices. Sprinto may provide notices to You by email to the address associated with Your Autonomous Trust Center account and/or by posting a notice within the Autonomous Trust Center. You may provide notices to Sprinto by email to legal@sprinto.com. Notices are effective when sent (email) or when posted (in-product), as applicable.
